Summary of the Assignment
GOGLA is seeking a qualified legal and regulatory consultancy firm to undertake an independent assessment of the regulatory landscape affecting Pay-As-You-Go (PAYGo) business models in the off-grid solar (OGS) sector across selected African markets and beyond.

The assignment will examine how evolving regulatory frameworks, including those relating to credit, digital lending, microfinance, hire-purchase, consumer protection and financial services, may apply to different PAYGo models and assess the associated legal and compliance implications.

The consultancy will, among other things:

  • Map and characterise PAYGo business models used in the OGS sector;

  • Identify existing and emerging regulations that may apply to PAYGo models;

  • Assess key legal and compliance risks;

  • Explore practical and proportionate regulatory pathways; and Provide an independent professional opinion and recommendations to inform GOGLA and industry engagement with policymakers and regulators.

The successful Consultant firm will bring with them:

The assignment should be undertaken by a suitably qualified legal and/or regulatory advisory firm with demonstrated experience in financial services, consumer credit and related regulatory matters.

The bidder should demonstrate:

  • At least 10 years of relevant professional experience in legal and regulatory advisory, preferably covering consumer product sales, financial services, consumer credit, digital lending, fintech, hire purchase and/or asset financing;

  • Demonstrated experience undertaking multi-country legal and regulatory assessments,preferably across African markets;

  • Strong understanding of regulatory frameworks relevant to consumer product sales, PAYGo and/or similar asset-based financing models;

  • Experience advising private sector, industry associations, governments and/or regulators on regulatory and compliance matters;

  • Knowledge of the off-grid solar/PAYGo sector will be a strong advantage; and

  • Appropriate legal qualifications and demonstrated expertise of the proposed expert(s).

Submission of Proposal

Interested firms shall submit:

  1. Technical Proposal (maximum 15 pages excluding the annexes such as CVs, company profile, detailed company experience, references) including:

  • Understanding of the assignment;

  • Proposed methodology and approach;

  • Proposed deep-dive and comparator countries, with justification;

  • Proposed stakeholder engagement approach and key stakeholders;

  • Workplan, timelines and proposed level of effort;

  • Team composition, roles and allocation of expert days; and

  • Summary of relevant experience.

  • In the English language, and valid for a minimum period of 120 days

  1. Financial Proposal, including a breakdown of professional fees and other anticipated costs

  2. Company profile and legal registration documents, including detailed relevant experience.

  3. CV's of proposed key experts, highlighting relevant legal, regulatory and PAYGo/financial services experience.

  4. At least three (3) references for similar assignments undertaken.
